CloudTrucks Electronic Signature Policy

This Electronic Signature Policy ("Policy") governs the use of electronic signatures/ agreement and electronic delivery for all agreements, transactions, and documents within CloudTrucks ("Company"). By providing electronic consent via the designated checkbox, you ("User") agree to the use of electronic signatures and affirm that such consent is legally binding and enforceable as a handwritten signature.

1. Governing Law and Compliance

This Policy complies with the provisions of the Electronic Signatures in Global and National Commerce Act ("ESIGN Act") and the Uniform Electronic Transactions Act ("UETA"). Electronic signatures and electronic delivery of documents executed in accordance with this Policy are legally binding and enforceable under applicable laws.

2. Consent to Use Electronic Signatures and Electronic Delivery

By checking the box presented during any agreement or transaction process, you acknowledge and agree to the following:

  • You consent to execute all agreements and documents electronically.
  • You consent to receiving all agreements and documents electronically.
  • You affirm that the action of checking a box constitutes a legal acknowledgment of intent to be bound by the terms of this Policy, the terms of service, and any other related policies.
  • No alternative method of signature, including handwritten signatures, is available.
  • The checkbox is mandatory, and you may not proceed with any agreements or transactions without consenting through this electronic method.

3. Electronic Signature Process

The Company uses a checkbox method to collect electronic signatures. By selecting the checkbox, you confirm that you have:

  • Reviewed and understood the terms and conditions associated with the agreement or transaction.
  • Provided affirmative consent to the agreement by marking the checkbox.

Upon consent, you agree that this electronic process represents your legal acknowledgment and intent to enter into the agreement or transaction.

4. Identity Verification and Security

To ensure the validity and security of electronic signatures, the following measures are employed:

  • Two-Factor Authentication (2FA): You may be required to verify your identity using 2FA methods, such as SMS, email verification, biometrics, or an authentication app.
  • Data Tracking: The following details are captured during the signature process: your identity, company name (if applicable), IP address, and date and time of the transaction.

These security measures are designed to ensure the authenticity of your signature and protect against unauthorized use.

5. System Requirements

To access and retain electronic records, you must have:

  • A device with internet connectivity.
  • A current web browser that supports 128-bit encryption (e.g., Chrome, Firefox, Safari, Edge).
  • Software capable of opening PDF documents (e.g., Adobe Acrobat Reader).
  • An active email account.

By providing your consent, you confirm that you have the necessary hardware and software to access and retain electronic records.

6. Record Retention and Access

CloudTrucks will retain all electronically signed agreements for a minimum period of five (5) years, in accordance with applicable legal and regulatory requirements. Signed agreements will be securely stored in DocuSign and in the Company's local systems. You will receive a copy of the electronically signed document, along with the date and time of your agreement, via email upon execution. Additionally, you may access these documents through your account portal at any time.

7. Disclosure of Terms

Prior to providing consent, you will be presented with the full terms and conditions of the agreement, either in the body of the document or through a hyperlink. You must review and accept these terms before checking the box and proceeding with the transaction.

8. Right to Withdraw Consent

You have the right to withdraw your consent to use electronic signatures and receive electronic communications at any time. To withdraw consent, please contact us at fuelcardsupport@cloudtrucks.com. Please note that withdrawal of consent will not affect the legal validity and enforceability of any agreements previously executed electronically.

Important: Withdrawing your consent may impact your ability to access certain products or services offered by CloudTrucks that require electronic agreements. We reserve the right to terminate or limit your access to such products or services if you withdraw consent.

9. Obtaining Paper Copies

While CloudTrucks operates electronically, you may request a paper copy of any electronic agreement or communication. To request a paper copy, please contact us at fuelcardsupport@cloudtrucks.com. Paper copies cost $2 per page plus a flat shipping rate of $20.

10. Updating Contact Information

It is your responsibility to provide us with a valid email address and to promptly update us with any changes. You can update your contact information by logging into your account portal or by contacting us at fuelcardsupport@cloudtrucks.com.

11. Legal Intent and Enforceability

By checking the box and providing electronic consent, you affirm your intent to be legally bound by the terms of the agreement or transaction. The act of checking the box serves as a legal acknowledgment equivalent to a physical signature and demonstrates clear intent to enter into a legally binding contract.

CloudTrucks retains the right to enforce any electronically signed agreements in any court of law, and you agree that such agreements are legally valid and enforceable.

12. Modifications to This Policy

CloudTrucks reserves the right to amend or modify this Policy at any time. If we make material changes, we will notify you by email or through our services. Continued use of the Company's services or execution of agreements via electronic signatures after such notification constitutes acceptance of the updated Policy.

By providing your electronic consent, you acknowledge that:

  • You have read and understood this Electronic Signature Policy.
  • You consent to receive communications electronically and to use electronic signatures.
  • You are able to access and retain electronic records.
